Terms of Service

These Terms of Service (“Terms”) govern your use of innociti.eu and related services (the “Service”) operated by Everlong s.r.o., Zámocká 8, Bratislava, Slovak Republic (“Innociti”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
Innociti is a matchmaking platform that connects European cities with proven urban innovations from EU-funded programmes. The Service provides curated precedent data, AI-assisted matchmaking, innovation briefs, and related advisory content.
2. Eligibility
You must be at least 18 years old and act on behalf of a legal entity (a municipality, public body, or private organisation) to use paid features. By registering you represent that you have the authority to bind that entity.
3. Account and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised access.
4. Subscription and Billing
- Prices are shown on the pricing page and quoted in EUR, excluding VAT.
- City Subscriber plans renew monthly until cancelled.
- Innovation Brief is a one-off service delivered within 10 working days.
- All payments are processed by Stripe. You authorise us to charge your payment method for the applicable fees.
- Refunds are governed by Slovak consumer law. Business-to-business subscriptions are non-refundable except as required by applicable law.
- We may change prices with 30 days' notice; changes apply to the next billing cycle.
5. Acceptable Use
You agree not to:
- Use the Service to violate any law or third-party right.
- Scrape, copy, or redistribute the precedent database in bulk.
- Reverse engineer, decompile, or attempt to extract the underlying code or AI models.
- Submit personal data of third parties in matchmaking queries.
- Interfere with the security or availability of the Service.
- Resell the Service without written authorisation.
6. Intellectual Property
The Service, including the precedent database, interface, code, and AI outputs, is owned by Innociti or its licensors and protected by intellectual property law. We grant you a non-exclusive, non-transferable, revocable licence to use the Service for your internal purposes during your subscription.
Source materials referenced in precedents (EUI, UIA, URBACT, Horizon Europe) remain the property of their respective publishers. Links and attributions are provided in each precedent record.
7. AI-Generated Content
Innovation briefs and matchmaking results are generated with AI assistance and reviewed by editorial staff where applicable. They are provided for informational purposes and should not substitute for professional legal, procurement, or engineering advice. You are responsible for validating outputs before relying on them.
8. Warranties and Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that precedent data is complete or current.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data.
Nothing in these Terms limits liability for gross negligence, wilful misconduct, or other liability that cannot be excluded under applicable law.
10. Termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate accounts for breach of these Terms, non-payment, or fraudulent activity. On termination, your access to paid features ends immediately; data retention follows our Privacy Policy.
11. Data Protection
Our processing of personal data is governed by the Privacy Policy. For customers subject to GDPR as data controllers, our Data Processing Agreement forms part of these Terms.
12. Changes
We may update these Terms. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
13. Governing Law and Jurisdiction
These Terms are governed by Slovak law. Disputes will be subject to the exclusive jurisdiction of the courts of Bratislava, Slovak Republic, without prejudice to mandatory consumer protection rules that may apply in your country of residence.
